Ripple-backed Evernorth Holdings began trading on Nasdaq under the ticker XRPN on October 12, following the completion of its merger with special purpose acquisition company (SPAC) Armada Acquisition Corp. II. The digital asset treasury firm entered the public market holding approximately 473 million XRP and $300 million in gross cash proceeds before transaction expenses.

The listing gives investors another way to gain exposure to XRP through a traditional brokerage account, without directly purchasing or managing the cryptocurrency. Evernorth plans to actively manage its treasury through institutional finance, decentralized finance (DeFi) strategies and participation in the XRP Ledger ecosystem.

The debut comes as companies increasingly use public markets to build digital asset treasuries. However, XRPN shares represent ownership in Evernorth, so their performance may differ from the price of XRP itself.

Evernorth brings 473 million XRP to Nasdaq

Evernorth completed its business combination with Armada on October 9, clearing the way for its Nasdaq debut three days later. The company holds approximately 473 million XRP, alongside about $300 million in gross cash proceeds.

The company’s backers include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR. Its stated goal is to deploy capital across the XRP ecosystem while pursuing strategies intended to increase the amount of XRP held per share over time.

Evernorth is not simply a passive vehicle that buys and holds tokens. It intends to use institutional and DeFi yield strategies, participate in the XRP Ledger ecosystem and support infrastructure and financial applications.

The company’s strategy will therefore depend not only on XRP’s market price but also on how effectively it manages its assets and generates returns.

SPAC merger brings shareholder redemptions and volatility

The path to Nasdaq included substantial redemptions by Armada’s existing public shareholders. Approximately 80.3% of shares eligible for redemption were exchanged for cash, removing roughly $195 million from the SPAC’s trust before the merger closed.

That left a relatively small public float, which can amplify price swings when trading begins. XRPN had already experienced substantial volatility during the run-up to the merger, illustrating how SPAC-related trading can differ from the performance of the underlying digital assets.

The merger’s closing valuation also highlights the risks of holding a crypto treasury. At an XRP reference price of $1.43 used in the closing documents, Evernorth’s 473 million XRP holdings were worth approximately $677 million. XRP had been valued at $2.37 when the deal was signed in October 2025, meaning the token’s price had fallen by roughly 40% between those reference points.

The $677 million figure reflects the XRP treasury alone, not the company’s full net asset value. Cash, transaction expenses, liabilities and other balance-sheet items also matter when assessing the company’s financial position.

XRPN offers corporate exposure, not direct XRP ownership

Evernorth’s Nasdaq listing creates a distinction between buying XRP and buying shares in an XRP treasury company.

Investors who purchase XRP own the digital asset directly, subject to the custody arrangement they use. XRPN shareholders instead own equity in Evernorth, whose value depends on its XRP holdings, cash, expenses, liabilities, management decisions and market valuation.

The shares may trade at a premium or discount to the value of the company’s net assets. A premium could help Evernorth raise capital to expand its treasury, while a discount could make new share issuance less attractive or dilute existing shareholders if capital is raised on unfavorable terms.

This structure also differs from a spot XRP exchange-traded fund. An ETF is designed to provide exposure under its fund-specific investment and custody rules, while Evernorth plans to actively deploy capital and pursue strategies intended to grow XRP per share.

Altcoin Buzz previously covered Evernorth’s planned $1 billion XRP treasury and the sources of its token holdings. The completed transaction confirms the planned 473 million XRP treasury, while also showing why the composition of those holdings and the company’s capital structure matter.

Evernorth appoints investment chief to manage XRP treasury

On October 12, Evernorth named Hugo Jeandesboz, a former co-chief investment officer at Coinbase Asset Management, as its investment chief. He is expected to help oversee the company’s treasury strategy as it begins operating as a public company.

Evernorth intends to use its capital across lending, liquidity provision and other financial strategies tied to the XRP ecosystem. These activities could generate additional returns beyond XRP’s price appreciation, but they also introduce execution, market and counterparty risks.

The company’s ability to grow XRP per share will depend on its investment performance, operating costs, capital-raising decisions and the terms under which it deploys its holdings. The strategy is not guaranteed to outperform simply holding XRP.

What the Nasdaq debut means for XRP

Evernorth’s listing adds a publicly traded company focused on XRP to the digital asset treasury market. It may broaden access for investors who prefer traditional securities accounts and gives institutions another vehicle through which to participate in the XRP ecosystem.

However, the debut does not automatically create new spot demand for XRP. Much of Evernorth’s initial treasury came from existing token holdings and contributions by investors and related parties, rather than from fresh purchases in the open market.

The key measures to watch are how Evernorth deploys its capital, whether it increases XRP per share over time and how XRPN trades relative to its underlying net asset value. Those factors will determine whether the company develops into a durable public-market route to XRP exposure.
