Grayscale and Republic Open DeFi and AI Funds at a $2,500 Minimum

Grayscale has partnered with Republic to distribute three crypto funds to accredited investors from a $2,500 minimum, but a Form D filing lists $25,000.

Grayscale and Republic have put three Grayscale crypto funds on Republic's investment platform for a stated $2,500 minimum. Grayscale announced the partnership on October 15. The three products cover decentralized finance, decentralized artificial intelligence and onchain data infrastructure.

For a private placement, $2,500 is a small door. Republic co-CEO Andrew Durgee framed the deal as early access to funds whose life cycle has traditionally been open only to institutional investors. He put the entry at a "minimum investment of just $2,500." Grayscale CEO Peter Mintzberg said the partnership brings the firm's strategies to a broader audience of eligible investors.

The word carrying that promise is "eligible." All US participants must meet accredited-investor requirements. The release spells those out as income over $200,000 in each of the past two years, or $300,000 with a spouse. Other routes in include net worth over $1 million excluding a primary residence, and certain financial licences. An entity can also qualify with over $5 million in assets. Republic's disclosures put US subscriptions under Rule 506(c) of Regulation D. Investor status has to be verified, not simply declared.

What the Three Funds Hold

Grayscale DeFi Fund, ticker DEFG, holds six digital assets tied to trading, lending and staking: UNI, AAVE, ONDO, ENA, CRV and LDO. Grayscale Decentralized AI Fund holds four: NEAR, TAO, RENDER and FIL.

The third is different in kind. Grayscale Data Network Trust gives exposure to DATA, the native coin of the DATA Network. That blockchain is built to source, verify and license data used to train AI models. It keeps an onchain record of data provenance, licensing terms, and payment for contributors and rights holders.

Where the money sits, by the weights Grayscale published at a May 1 snapshot: UNI took 35.22% of the DeFi Fund, AAVE 21.36%, ONDO 19.83%, ENA 13.59%, CRV 5.27% and LDO 4.73%. In the AI Fund the same snapshot put NEAR at 31.35%, Bittensor at 29.15%, Render at 21.59% and Filecoin at 17.91%. Those figures come from Grayscale's snapshot and could not be confirmed on Grayscale's own fund pages.

A $2,500 Minimum and a $25,000 Filing

The Data Network Trust's SEC Form D/A tells a slightly different story about the entry price. It lists the minimum investment accepted from any outside investor as $25,000, not $2,500. Nothing published so far reconciles the two numbers, or says which subscription route each one applies to.

The same filing reports $39.24 million sold, seven investors already in the offering, a first sale on July 28, 2025, and sales commissions and finders' fees of $0. It claims a Rule 506(c) exemption. It also states the issuer, a Delaware business trust, is not registered as an investment company under the Investment Company Act of 1940.

Republic's own fund pages were not reachable at the time of writing. That is where the $2,500 figure and the platform's risk language sit, so that minimum is documented through the press release and coverage rather than read at source.

Private Placements, With the Risks in Writing

Unlike publicly traded ETFs, the three Republic offerings are private placements that do not trade on public exchanges. Under the offering terms, the shares are restricted securities with significant limits on resale and transfer. Investors cannot redeem them through the products. Grayscale warns of limited liquidity and the possibility of losing the entire investment. The shares are not registered under the Securities Act of 1933, the Investment Company Act of 1940 or state securities laws. Republic states the investments are not FDIC-insured. It also says SIPC protection does not cover falling values or investment losses.

That is the trade the $2,500 minimum makes. It lowers the ticket for a private fund. It also keeps the buyer pool inside the accredited gate, a narrower group than "retail" suggests. Republic, for its part, describes a portfolio of more than 2,500 companies and a community of 3 million members across more than 150 countries. It says over $3 billion has been deployed through its platforms, funds and advisory firms.

The open question is demand. Nothing read for this story shows how much money has come into the three products through Republic. Nor is it clear whether the lower minimum changes who actually buys. The minimum and the verification requirement are the two documented facts. The appetite behind them is not yet.
