Strive Adds 3,311 Bitcoin, Lifting Its Treasury to 32,773 BTC

Strive's October 13 filing shows bitcoin holdings rising from 29,462 to 32,773 in a week, as Class A shares grew and warrant shares fell by almost 8 million.

Strive added 3,311 bitcoin in the week to October 9, taking its treasury from 29,462 BTC to 32,773 BTC, according to the company's 8-K dated October 13. That is an 11% rise in a week, and it carries the company past 30,000 BTC.

For a Class A shareholder, the more useful number is bitcoin per share. The filing shows Class A shares outstanding rising from 91,708,804 to 101,169,907, an increase of about 10.3%. Holdings grew slightly faster than the share count. By our calculation, that works out to roughly 321 BTC per million Class A shares before the week and about 324 after. That count leaves out preferred stock and the remaining warrants.

What the Filing Does Not Say About the Price

The 8-K reports coin counts, not a purchase price. It gives no average cost per bitcoin and no dollar total for the 3,311 coins. A total of about $280 million has circulated, but no Strive document in our brief confirms it. Until the company publishes the figure, treat it as unconfirmed.

The same filing shows cash and cash equivalents rising from $284.7 million to $310.3 million over the week. Strive also holds 505,000 shares of STRC.

Warrant Shares Fall as Class A Count Climbs

The share table shows several moves that happened in the same week:

  • Shares underlying traditional warrants fell from 23,249,706 to 15,255,900, down 7,993,806.
  • Class A common stock rose by 9,461,103 shares.
  • SATA preferred shares rose from 13,498,082 to 14,030,176, up 532,094.

The filing lists these changes without explaining each one. A figure of $208 million in warrant exercises has also been attributed to chief executive Matt Cole. We have not confirmed that figure from the company, and no final tally after the warrants' expiry was available.

SATA Gets a $100 Sale Floor

In a separate filing, Strive amended the terms of its SATA preferred stock. The change is meant:

"to establish a minimum sale price of $100.00 per share (before taking into account any underwriting or sales discounts or commissions, fees or expenses) for all future sales of SATA by the Company"

For existing SATA holders, that means the company has committed not to issue new SATA below $100. The floor applies before discounts and fees, so the net amount Strive receives can still be lower.

The board kept SATA's annual dividend rate at 13.00% for periods starting November 1. It declared daily cash dividends of $0.0571 per share, or $1.0849 for the full monthly period.

The amendment also redefines a Business Day to include weekends, so daily dividends could be paid on Saturday and Sunday where permitted. The company played that down: "The Company does not anticipate any change to its near-term dividend cadence as a result of this amendment."

The MARA Comparison Is Still Open

This week's buy invites a comparison with MARA, a larger corporate holder. We have not checked MARA's latest disclosure, so we are not stating a gap. Strive's own number is solid: 32,773 BTC as of October 9, filed with the SEC. The next filing should show whether the warrant activity turned into more bitcoin.
