Tron Files $200M ATM to Buy More TRX, and Dilution Is the Catch

Tron Inc filed a $200 million at-the-market offering with Clear Street to buy more TRX. The dilution table in its own prospectus shows who pays for it.

Tron Inc. has filed to sell up to $200 million of its own shares over time, and the money is meant to buy more TRX. The prospectus supplement and the 8-K covering the sales agreement were filed with the SEC on October 14, 2026. Clear Street LLC acts as agent and takes up to 3.0% of gross proceeds, which on a full $200 million sale is up to $6 million in commissions.

An at-the-market offering sells shares a slice at a time at whatever the market pays, so the $200 million is a ceiling, not a promise. Neither Tron nor Clear Street has to sell a single share, and either side can walk away on ten days' notice, the 8-K says. Clear Street can also end the deal over events including a material adverse effect on the company.

What $200 Million Buys, and What Tron Already Holds

Tron says the net proceeds go mainly to grow the business by acquiring additional TRX tokens, plus working capital and general corporate purposes. Its stated plan is to hold TRX in treasury and stake substantially all of it to earn yield, largely through liquid staking on the TRON blockchain.

Set that against what the company already reports. As of June 30, 2026, its digital assets were TRX and sTRX tokens valued at $233.8 million, plus a $10.1 million prepayment for more purchases. The new offering is nearly the size of that entire crypto book.

The existing daily buying program is far smaller. On February 12, 2026, Tron said it buys about $50,000 worth of TRX per day for 360 consecutive days. At that pace the whole program works out to roughly $18 million. At the time, it said its treasury held more than 681.2 million TRX, after buying about 181,346 TRX at an average price of about $0.28 on February 11.

On those figures, the ATM is more than ten times the size of the daily program. Purchases made since June could not be checked against the company's own posts, so they are not counted here.

The Dilution Tron Put in Its Own Filing

An ATM raises money by creating shares, so the cost lands on the share count. At the $1.22 last reported Nasdaq sale price on October 13, 2026, a full $200 million means 163,934,426 new shares. Tron had 474,432,064 shares outstanding before the offering and would have 638,366,490 after.

The prospectus also carries the company's own dilution table. Net tangible book value was about $0.02 per share at June 30, 2026, and would be about $0.32 after full sales. Existing holders gain about $0.30 per share; buyers in the offering are diluted by about $0.90.

Read the $0.02 carefully. TRX and sTRX are classed as intangible assets and are excluded from the net tangible book value calculation, so that figure is not a valuation of the treasury. The table measures the paper business underneath the crypto, not the coins.

Price matters to those numbers. At $0.50 more per share, book value rises to $0.35 and dilution to new buyers deepens to $1.37. At $0.50 less, book value falls to $0.27 and dilution narrows to $0.45.

How the Raise Compares to the Float

The filing puts the aggregate market value of Tron shares held by non-affiliates at $112,801,203, based on 52,465,676 non-affiliate shares as of October 6, 2026. That makes the $200 million raise larger than the value the company assigned to its whole non-affiliate share base a week earlier.

If you hold TRON stock, this is the number to watch. The ATM does not dilute you on the day it is filed, only as shares are sold, and every sale shows up in the next filing. Tron's outstanding count also excludes 2,620 shares issuable on warrants at $6.00 and 1,715,000 shares issuable on options with a weighted average exercise price of $0.99.

Some context on the company itself. Tron Inc. is a Nevada corporation, formerly SRM Entertainment, and calls itself the public company with the largest TRX holdings. It still runs a toy and souvenir business that sells into theme parks and entertainment venues. It is an emerging growth company and a smaller reporting company.

The offering draws on a shelf registration statement filed with the SEC on July 28, 2025 and declared effective on March 30, 2026.

What to Watch Next

The test is execution, not the filing. Tron has to actually sell shares, and Clear Street has to actually find buyers at prices the company will accept. If the stock trades below $1.22 when shares go out, Tron must issue more of them to raise the same $200 million, and the cheaper row of its own dilution table becomes the real one.

The other clock is the daily purchase plan. It runs 360 days from its February start, so it has roughly three months left unless the company extends it. The ATM is what comes after, if it works.
